AGREEMENT TO TERMS

Unless otherwise specified, these Terms of Use constitute a legally binding agreement between you and HomeSpruce ("HomeSpruce", "we", "us", or "our") regarding your access to and use of the www.HomeSpruce.com website and other media related, linked, or otherwise connected to it (collectively, the "Site"). It is your responsibility to read, understand, and agree to these Terms of Use before accessing the Site. PLEASE DISCONTINUE THE USE OF THE SITE IMMEDIATELY IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE.

The Site may post supplemental terms and conditions from time to time that are expressly incorporated herein. Any time and for any reason, we reserve the right to make changes or modifications to these Terms of Use

Any distribution of or use of information provided on the Site is prohibited in any jurisdiction or country where such distribution or use would violate law or regulation or subject us to registration requirements. Therefore, people accessing the Site from outside of the U.S. do so at their own initiative and are solely responsible for complying with local laws, if and to the extent that local laws apply. Whenever these Terms of Use change, we will update the "Last Updated" date, and you waive any right to receive specific notice. To stay updated with these Terms of Use, you must periodically review them. In the event of any revisions to these Terms of Use, your continued use of the Site after such revisions have been posted will constitute your acceptance of such changes.

The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site.

Services offered by HomeSpruce

• Through our service, consumers can find a Contractor to help with their home improvement needs.
• With our tools, Contractors in our network can assist consumers in making informed decisions regarding home improvement and repairs project to their home.
• A HomeSpruce Contractor is connected to consumers when appropriate. The contact information you gave us will be shared as part of this process. The information you submit to HomeSpruce will be used and provided to facilitate this connection only if you authorize us to do so. Your consent to be contacted via phone, text, and email by us and our partners is implied by providing this information to us.
• HomeSpruce refers contracting professionals but does not provide contractor services. Depending on the situation, our partner Contractors may provide contracting services. We do not endorse, recommend, or otherwise know the terms of any agreement between you and a contractor professional.
• The contracting professionals involved in the contractor transaction may pay HomeSpruce a nominal feel for the referral of business. It will be up to the contractor professionals and HomeSpruce to determine if any payments will be made. You won't be charged anything. This compensation arrangement is acknowledged and accepted by your use of our services.
• With written notice, you may terminate your participation in our service at any time. The same termination rights are reserved by HomeSpruce. Our agreements with contracting professionals will apply to referrals made before such termination.

RIGHTS TO INTELLECTUAL PROPERTY

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions. Site Content and Marks are provided "AS IS" for your personal information and use only. It is prohibited to copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of this Site or its Content or Marks without our express, prior written consent.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.

USER REPRESENTATIONS

The terms and conditions apply to all visitors to the Site. To use the Site, you represent and warrant that you are over the age of majority in your jurisdiction and agree to comply with these terms; that you are not a minor; that you will not access the Site through automated or non-human means; that you will not use the Site for illegal or unauthorized purposes; and that you will not violate any applicable law.

In the event that you provide untrue, inaccurate, out-of-date, or incomplete information, we may suspend or terminate your account and refuse any and all future use of the Site (or any portion thereof).

The Site may not be accessed or used for any purpose other than those for which it is provided. Commercial endeavors may not be conducted on the Site without our express endorsement or approval.

ACTIVITIES THAT ARE PROHIBITED

1. Interfere with security-related features of the Site, including those that prevent or restrict the use of any Content or impose limits on the use of the Site and/or its Content.
2. Harass, abuse, or harm another person by using information obtained from the Site.
3. Infringe on any law or regulation applicable to the Site.
4. The uploading or transmitting of viruses, Trojan horses, or other material, including excessive capitalization and spamming (posting repetitive content repeatedly), that interferes with the uninterrupted use of the Site or that alters, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site is prohibited.
5. Use scripts to send comments or messages, or use data mining, robots, or similar tools to collect data and extract it.
6. Remove any copyright or proprietary rights notices.
7. Use another user's username or attempt to impersonate another user.
8. You should not upload or transmit (or attempt to upload or transmit) any material that acts as a passive or active information collection or transmission mechanism, including, without limitation, clear graphics interchange formats (“GIFs”), 1*1 pixels, web bugs, cookies, or other similar devices (sometimes called “spyware” or “passive collection mechanisms” or “PCMs”).
9. Disrupt, interfere with, or create an undue burden on the Site.
10. Attempt to circumvent any measures designed to prevent or restrict access to the Site.
11. Adapt or copy any of the Site's software, including Flash, PHP, HTML, JavaScript, and others.
12. Reverse engineering any software comprising or being a part of the Site by deciphering, decompiling, disassembling, or reversing engineering it.
13. Use, launch, develop, or distribute any automated system, including without limitation, spiders, robots, cheat utilities, scrapers, or offline readers that access the Site, or launch any unauthorized script.
14. Use a buying agent or purchasing agent to make purchases on the Site.
15. Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
16. Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.

CONTRIBUTIONS GENERATED BY USERS

There is no option for users to post content to the Site. Contributions may include text, writings, video, audio, photographs, graphics, comments, suggestions, or other material (collectively, "Contributions") that you submit, post, display, transmit, perform, publish, distribute, or broadcast to us or on the Site. Site users and third parties may be able to view contributions. The Site Privacy Policy may apply to any Contributions you transmit. Contributions created or made available by you represent and warrant the following:

If you violate these Terms of Use, you may be terminated from using the Site or have your rights suspended.

1. A third party's proprietary rights, including copyright, patent, trademark, trade secret, and moral rights, will not be infringed by the creation, distribution, transmission, public display, or performance of your Contributions.
2. In accordance with the Site and these Terms of Use, you are the creator, owner, or possess all the necessary licenses, rights, consents, releases, and permissions to use and authorize us, the Site, and other Site users to use your Contributions.
3. In order to enable inclusion and use of your Contributions in any manner contemplated by the Site and these Terms of Use, you have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions.
4. Contributions you make are not false, inaccurate, or misleading.
5. We do not accept unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, or mass mailings as part of our Contributions.
6. As determined by us, your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable.
7. No one is ridiculed, mocked, disparaged, intimidated, or abused in your Contributions.
8. You do not advocate violent overthrow of any government or threaten physical harm to another person in your Contributions.
9. There is no law, regulation, or rule that violates your Contributions.
10. No third party's privacy or publicity rights are violated by your Contributions.
11. In your Contributions, you do not solicit personal information from anyone under the age of 18 or exploit them sexually or violently.
12. In no way does your Contribution violate any federal or state law concerning child pornography, or otherwise harm minors or their well-being.
13. No offensive remarks related to race, national origin, gender, sexual preference, or physical handicap are included in your Contributions.
14. You must not violate any provisions of these Terms of Use, or any applicable law or regulation, by your Contributions, or by linking to material that does.

CONTRIBUTION LICENSE

Your agreement with Site allows us to access, store, process, and use any information and personal data that you provide, subject to the terms of the Privacy Policy and your choices (including settings).

Upon submitting suggestions or other feedback regarding the Site, you agree that we may use and share the feedback for any purpose without compensation to you.

Your Contributions do not belong to us.  No liability is assumed by us for any statements or representations made by you in any area of the Site. In relation to your Contributions to the Site, you are solely responsible for them, and you expressly agree to exonerate us from any and all liability and to refrain from pursuing any legal action against us.

SITE MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.
